We provide a wide range of advice and services as follows:

EMTool provides consulting advice and technical remote services to a corporate client base in respect of helping a customer manage a specific part of customer’s business.

This licensing policy, which is incorporated into and part of EmTool’s End User Subscription Agreement (“EUSA”), defines the specific licensing terms and conditions for your use of EmTool software products and documentation. Definitions for all capitalized terms are found in the Definitions section below.

1. EmTool Subscription

1.1. EmTool Subscription (ESO) Offerings

1.3 Multiyear Subscription Billing Options

Multiyear Subscriptions with Upfront Billing contain all years subscriptions in one payment. Customer commits to pay for the entire length of the contract upfront. Multiyear Subscriptions with Annual Billing require all yearly options to be purchased together on the initial order. The customer commits to pay the annual amount by the yearly anniversary each year for the length of the contract.

Invoices for additional options that were not included in the subscription provided to the buyer will be invoiced at the end of the subscription year 

1.4. Downgrades

Support and Maintenance Downgrades are not available.

1.5. Upgrades

  • Support and Maintenance Upgrades are available for all users. 
  • Only 3 last versions of the product are currently supported.

1.6. Subscriptions Purchase Terms

Except as expressly agreed otherwise, EmTool reserves the right to change Packaging and Pricing as needed without advanced or written notification, and price changes are not enforced retroactively. Except as expressly agreed otherwise, renewals or extensions of Subscription will be at EmTool’s list price in effect at the time of the applicable renewal. Renewal prices that incur volume or term decreases will result in repricing based on the current market price without regard to prior Pricing.

1.7. Subscription

Months: Term length in whole months. Whole months are calculated by counting the months between the start date and date closest to the end date, without going over, and then incrementing by 1 if the number of days between the closest matching date and the end date is more than 14. Terms more than 14 days will be counted as 1 month. 

Term: The length of the Subscription in whole months Active Subscription: A Subscription with a status of active (not renewed, not forecast, not terminated, recurring). 

Past Subscription: A renewed or terminated subscription. 

Start Date: The date the Subscriptions began or will begin (is equal to a contract sign date). 

End Date: The date the Subscription ended or will end. 

1.8. Extend current Subscription

Additional purchase of options such as (all types of gates, autodiscovery units etc) is possible only for users with a purchased Subscription.

1.9. Change current Subscription type

Subscription upgrade is possible only from basic to PRO plan. In this case, the calculation of the difference is paid beforehand by the client on a monthly basis.

2. Support and Maintenance

2.1. Paid Offerings

Customers are entitled to the Service Level Agreements (SLAs) associated with the Offering as described in the Extensions. Please note that support may NOT be provided for Customers with expired Subscriptions or Support and Maintenance agreements.

2.2. Support

EmTool has 2 support programs that may or may not be available for all Offerings: Pro and Basic. Additionally, there is an Evaluation support program for 30 days following after purchasing the product. Each program provides a guarantee for support via Web and E-mail. Support for Customers with the trial Subscription products is provided on a best-effort basis.

New product releases and maintenance updates are also available only to Customers with a current maintenance contract.

2.3. Public, Educational, or Internal Subscription Discounts

EmTool may provide discounts for the public, educational, and ‘internal use’ sectors on Subscription. Contact Support Team for discounts available in your region.

2.4. Maximum Prepaid Term

The maximum prepaid term for Support and Maintenance is 5 years for each Subscription.

2.5. Pricing Adjustments

EmTool strives to provide its customers with the best technology support for a broad alliance ecosystem, in a flexible, cost-effective manner. We reserve the right to evaluate our Packaging and Pricing and adjust Pricing for subscription renewal and maintenance renewal of any Offering.

3. Definitions

3.1. Customer

Customer means the End User of the Software.

3.2. Unique Checking Unit (USU)

Each USU consists of a domain name/site name and a set of properties (port, source, gate). Changing any property leads to the creation of a new USU

3.3. EmTool Autodiscovery (AWS)  

Lambda function for automatic domains discovery in AWS cloud provider

3.4. EmTool Autodiscovery (Nginx)

An Nginx module for automatic domains discovery in Nginx server configuration

3.5. EmTool Private gate

The Gate which is created by the customer to perform validation and auto-discovery of domains

3.6. EmTool Public gates

The Gate which is provided by the EmTool to perform validation and auto-discovery of domains

3.7. EmTool Monitoring system integrations

Integration with monitoring systems and the possibility of receiving alerting through monitoring systems

3.8. Source Infrastructure

Source Infrastructure means an infrastructure with management servers, hosts, physical/virtual/cloud machines, applications, files, or storage that is protected, monitored, or otherwise managed by the Software and by the Customer.

3.9. Support and Maintenance

Support and Maintenance means Software updates, licensing, and technical support to Customers

3.10. Subscription Upgrade

Change on any Subscription from a lower Subscription Edition to a higher Subscription Edition.

3.11. Support and Maintenance Upgrade

Change from a lower level of Support and Maintenance to a higher level of Support and Maintenance.

3.12. Community Edition and Free Licenses

EmTool provides some products free of charge with full or limited functionality.

3.13. Product

Product group of features or capabilities designed to function synergistically under one interface, and title. May be referred to as Software.

3.14. Offering

Offering means Software offered or commercialized with a specific Subscription Type, Support and Maintenance program and License policy rules.

3.15. Add-on

Add-on means a dependent Offering offered in addition or complimentary to an independent Offering.

3.16. Bundle

Bundle means an Offering composed of a specific group of Software, Offerings and/or Add-ons offered together at a discount.

3.17. Feature

Feature means capability designed to complete a function or series of functions found within Software.

3.18. Pricing

Pricing means Subscription Types, terms, structural discounts, and price points associated with Emtool’s Packaging.
